This Contributor Referral Program Agreement (the “Agreement”) constitutes a legally binding agreement made between you and Eezy LLC d/b/a Vecteezy (“Vecteezy”), a Kentucky limited liability company with its principal office located at 2413 Nashville Road, Suite B13, Bowling Green, Kentucky, 42101, United States of America, and its parents, subsidiaries, and related and affiliated entities. This Agreement describes and controls your legal relationship with Vecteezy as a participant in our Contributor Referral Program (the “Program"). 

Please read this Agreement carefully and be sure you understand it fully. By sharing or distributing your unique referral link to others, you acknowledge that you have read this Agreement; that you have independently evaluated the desirability of participating in the Program; that you are not relying on any representation, guarantee, or statement other than those set forth in this Agreement; and that you agree to all of its terms and conditions. 

This Agreement also incorporates by reference the Vecteezy Contributor Agreement, Vecteezy License Agreement, the Terms of Use, and information provided by you during registration, all of which is hereby deemed incorporated into and made a part of this Agreement by this reference.  You acknowledge that you have read, understand, and agree to the terms of the Vecteezy Contributor Agreement, the Vecteezy License Agreement, and the Terms of Use.

1. 1. Referral Link; Limits on Sharing and Distribution.  You will be provided a unique referral link accessible in the content manager for your account.  You may share or distribute this link, subject to the limitations set out in this Agreement. You may only share or distribute your own unique referral link.  Several share options are available in the content manager, and sharing and distribution are not limited to the options listed. However, the following are not permitted:
      1. You must not engage in and/or facilitate spamming, indiscriminate advertising or unsolicited commercial email or otherwise fail to comply with the CAN-SPAM Act of 2003 (Public Law 108-187 or any successor legislation), and/or any other laws and/or regulations that govern email marketing and/or communications. 
      2. You must not distribute your referral link on commercial websites that you do not own or operate; on sites that incorporate images, text or any other content or features (either displayed or hidden) that might in any manner tarnish, disparage, or reflect adversely on Vecteezy and/or its Trademarks or otherwise diminish our reputation or goodwill; or on sites that are, or that involves, advocates or facilitates activity that is, unlawful, infringing, invasive, immoral, fraudulent, misleading, discriminatory, defamatory, obscene, abusive, violent or otherwise offensive.
      3. You must not distribute your referral link through pay-per-click search engine advertising or the like.
      4. You must not use your referral link to engage in pop-up or pop-under advertising using any means involving third-party properties, services and/or software nor deliver pop ups or pop unders through downloadable software that force clicks or perform redirects or pop over a pay-per-click listing or natural search results.
      5. You must not copy or distribute anyone else’s referral link.
   2. Referrals. After sharing or distributing your referral link as permitted under this Agreement, you may accumulate credit for Referrals as follows.
      1. One Referral will be credited to you for each Contributor that satisfies the requirements set out in this Agreement to be a “Referral.”  A “Referral” is a new Contributor who clicks on your referral link and, within 60 days after their original click on your referral link, (1) completes and has their application to become a Contributor approved by us, (2) enters into a Vecteezy Contributor Agreement, (3) uploads, submits, and has a minimum of 10 non-AI generated files approved by us, and (4) completes and has their identification verification approved by us.
      2. A “Referrer” is a Contributor whose unique referral link a Referral clicks on.
      3. In the event a Referral clicks on multiple unique referral links, the Referral will be credited to the Referrer associated with the last unique referral link that the Referral clicked on before their application was complete and approved by us. 
      4. Each new Contributor may only be credited as a Referral one time. 
      5. The Referral and the Referrer cannot be the same person.  Persons who were already Contributors before clicking on referral links cannot be Referrals.
      6. Referrals are considered fraudulent if (1) the application or identification verification is completed using a bot, false identity, or an identity that is not the identity of the Referral’s primary account holder, or otherwise under false pretenses of any kind, (2) if Files uploaded by the Referral do not meet the requirements set out in the Vecteezy Contributor Agreement, or are found to be created by the same account holder as the Referrer or that of another current or past Vecteezy Contributor, or (3) if the Referral violates Vecteezy Contributor Agreement, Vecteezy License Agreement, or the Terms of Use. 
      7. If a Referral is deemed fraudulent, Vecteezy may terminate the account(s), the Vecteezy Contributor Agreements and this Agreement of the Referral and/or the Referrer, in accordance with the Vecteezy Contributor Agreement.
   3. Referral Earnings.  As you accumulate Referrals, you may accumulate “Referral Earnings.”
      1. For you to accumulate Referral Earnings, you and your account must be in good standing with Vecteezy at all times. 
      2. For each new Referral credited to you, you will receive $5 in Referral Earnings in your Contributor account. 
      3. Vecteezy may deduct or withhold Referral Earnings if:
         1. A Referral’s account is closed or their Vecteezy Contributor Agreement is terminated within one year of their application approval date;
         2. A Referral removes Files that qualified them as eligible within one year of the Files’ approval date;
         3. A Referral is deemed fraudulent; or
         4. Your account is closed or your Vecteezy Contributor Agreement is terminated.
   4. Referral Earnings Payments. Referral Earnings are paid out as a part of your compensation in accordance with the Vecteezy Contributor Agreement. 
      1. When you reach the minimum payout threshold and have approved payment account and tax information on file with Vecteezy, Referral Earnings will be included in the total accrued compensation paid to the payment account information on file with Vecteezy. 
      2. You are solely responsible for timely payment of all income, payroll, and employment-related taxes, including without limitation all unemployment, workers compensation, income tax withholding, social security, and any other taxes of any nature whatsoever.  Vecteezy may withhold taxes from your Referral Earnings or other compensation, depending upon your country of origin, information supplied by you, and information supplied by tax authorities. You acknowledge and agree that Vecteezy may and will make tax deductions and provide documentation as required by law.
   5. Term and Termination. 
      1. The term of this Agreement shall begin when you first share or distribute your unique referral link to anyone else.
      2. Vecteezy may modify this Agreement and the Program at any time, with or without notice.  This Agreement may be terminated on the same terms and conditions as the Vecteezy Contributor Agreement.  This Agreement will automatically terminate upon termination of your Vecteezy Contributor Agreement.  Upon termination of this Agreement, Referral Earnings and accounts will be handled in accordance with the Vecteezy Contributor Agreement. 
   6. Miscellaneous
      1.  Contributors that you referred to Vecteezy before you received a unique referral link or otherwise before the introduction of the Program are not eligible to be Referrals, and you are not entitled to receive Referral Earnings for them.
      2. This Agreement and all aspects of the Program, including Referrals, Referral Earnings and your unique referral link, are non-transferrable and non-assignable without Vecteezy’s prior written consent.
      3. You represent and warrant that you are 18 years of age or older and are lawfully able to enter into and perform a legally binding contract and that you make all the representations and warranties set out in the Vecteezy Contributor Agreement.  
      4. This Agreement and the Vecteezy Contributor Agreement, Vecteezy License Agreement and Terms of Use: (i) contain the entire understanding of the parties with respect to the subject matter covered herein and therein and supersede any prior agreements with respect to such subject matter; and (ii) shall be governed by the laws of the Commonwealth of Kentucky (without regard to its conflict of laws principles).
      5. The original, legally binding version of this document is written in English.  It may be translated into other languages as a courtesy to Vecteezy’s non-English-speaking Contributors. If there are any discrepancies between the English version and a translated version, the English version controls and supersedes the translated version.

      7. BY ACCEPTING THIS AGREEMENT, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND HAVE HAD AN OPPORTUNITY TO SEEK INDEPENDENT LEGAL ADVICE BEFORE AGREEING TO IT.
